# T3 Labs Website Package Terms and Conditions

These Terms and Conditions apply to website design, development, launch, hosting and support services supplied by T3 Play Limited, a New Zealand company trading as T3 Labs.
T3 Labs provides this package to customers acting for business purposes. It is not offered as a consumer service.
1. How the agreement is formed
A private proposal, recorded walkthrough or speculative website concept is an invitation to discuss the project. Clicking “I’d like to launch this website” records interest only. It does not take payment and does not create a binding agreement.
A binding agreement is formed when:
- T3 Labs sends the customer a written order summary confirming the final scope, price and any agreed variations;
- the customer accepts the order summary and these Terms in writing; and
- T3 Labs receives the initial payment.
The order summary and these Terms form the agreement. If they conflict, the order summary takes priority only to the extent that it expressly changes these Terms.
2. The £399 website package
The package price is £399 total. T3 Labs will not add a separate UK VAT or New Zealand GST amount to the advertised £399 package price. Any tax that T3 Play Limited is required to account for is treated as included in that total.
Unless the order summary says otherwise, the package includes:
- the one-page website shown in the private walkthrough;
- responsive desktop, tablet and mobile layouts;
- verified business services, service areas and contact information;
- client-supplied or client-approved project images;
- genuine reviews and trust information supplied or approved by the customer;
- click-to-call and contact actions;
- a detailed quote-request form;
- foundational on-page SEO;
- standard domain connection;
- one consolidated revision round;
- final launch checks;
- a 20-minute handover call; and
- three months of managed hosting and technical support from the launch date.
The package covers the concept shown in the walkthrough. It does not include a complete redesign in a different direction unless T3 Labs agrees to that in writing.
3. Work not included
Unless it is expressly added to the order summary, the package does not include:
- additional pages;
- a new logo or full brand identity;
- professional photography or video;
- substantial new copywriting or research;
- e-commerce;
- customer accounts or portals;
- booking systems;
- bespoke calculators;
- custom software;
- complex third-party integrations;
- paid third-party licences, subscriptions or usage charges;
- domain registration or renewal;
- complex domain recovery or registrar disputes;
- ongoing SEO or content production;
- accessibility certification;
- legal, tax or regulatory advice;
- unlimited revisions; or
- guaranteed search rankings, traffic, enquiries, sales or revenue.
T3 Labs will quote additional work before starting it.
4. Payment
The standard payment schedule is:
- £199.50 before client-specific revisions, configuration and launch work begin; and
- £199.50 before the website is launched.
Invoices are payable within seven days.
T3 Labs is not required to begin client-specific work until the initial payment is received. T3 Labs is not required to launch the website or transfer any rights while an invoice is overdue.
The initial payment is refundable if the customer cancels before T3 Labs begins client-specific work. Once T3 Labs begins revisions, content changes, form configuration, domain work or other customer-specific implementation, the initial payment becomes non-refundable except where T3 Labs materially fails to provide the agreed services and does not remedy the failure within a reasonable period.
Any late-payment charge must be stated in the order summary and comply with New Zealand law. T3 Labs may also recover reasonable costs of collecting an undisputed overdue debt where the law permits.
5. Customer responsibilities
The customer must:
- provide accurate business and contact information;
- verify services, service areas, prices, guarantees, qualifications, accreditations and regulated claims;
- supply or approve all text, logos, photographs and reviews;
- confirm that it has the right to use all material it supplies;
- provide domain and account access when required;
- identify the approved recipient for website enquiries;
- review the final website carefully before launch;
- submit revision requests as one consolidated list;
- respond within a reasonable time;
- maintain and renew its domain;
- maintain access to the inbox receiving form submissions; and
- comply with laws and industry rules applying to its business and website.
The customer remains responsible for the accuracy and legality of material it supplies or approves. T3 Labs is not responsible for misleading, unlawful or infringing customer content.
6. Content and approval
T3 Labs may draft or adapt copy using information supplied by the customer and reliable public sources. The customer must approve the final content before launch.
Approval may be given by email or another agreed written method.
The customer is responsible for checking:
- names and contact details;
- services and service areas;
- accreditations, guarantees and insurance claims;
- testimonials and review quotations;
- prices and promotions;
- photographs and logos;
- privacy and regulatory wording relevant to the customer's own business; and
- any claim that may require evidence.
Corrections requested after approval may be treated as additional work unless the error was introduced by T3 Labs.
7. Revisions
The package includes one consolidated revision round.
A consolidated revision round means one complete list of reasonable changes supplied at the same time. It may include reasonable amendments to:
- wording;
- approved photographs;
- service descriptions;
- contact information;
- colours;
- spacing; and
- minor layout details.
It does not include:
- a new overall design;
- a different creative direction;
- additional pages;
- repeated separate requests;
- substantial rewriting;
- complex new functionality; or
- integrations outside the agreed scope.
T3 Labs will provide a quote before carrying out additional revisions or scope changes.
8. Delivery
T3 Labs will normally aim to launch the website within 7–10 working days after receiving:
- the initial payment;
- all required content;
- all required approvals;
- domain access;
- the approved form-recipient details; and
- any other access required for launch.
This is an estimate, not a guaranteed date.
The timetable moves where the customer delays content, images, access, feedback or approval. T3 Labs is not responsible for delays caused by third-party providers or events outside its reasonable control.
9. Domains
The customer should own or control its domain.
T3 Labs may connect or configure the domain with the customer's permission. Unless the order summary says otherwise:
- domain registration and renewal charges are the customer's responsibility;
- the customer must keep registrar and recovery details current;
- T3 Labs is not responsible for expiry caused by a missed renewal; and
- unusual transfer, recovery or dispute work may be charged separately.
T3 Labs will not knowingly register the customer's primary domain in T3 Play Limited's name unless the customer expressly requests and agrees to that arrangement.
10. Hosting and technical support
Managed website hosting and technical support are included for the first three months from the launch date.
The included service covers:
- website hosting infrastructure;
- an SSL certificate;
- routine backups;
- reasonable technical maintenance;
- security and dependency updates; and
- assistance with genuine website faults.
A genuine website fault includes an issue such as:
- the website failing to load;
- a broken button or link;
- the enquiry form failing because of the website configuration;
- a technical layout issue introduced by an update; or
- restoration following a hosting-related fault.
The included service does not cover:
- routine text or image changes;
- new pages or sections;
- new functionality or integrations;
- ongoing SEO or marketing;
- domain registration or renewal;
- third-party subscriptions or usage charges;
- faults caused by customer-controlled accounts, domains or services; or
- unlimited or out-of-hours support.
T3 Labs will normally send a continuation reminder approximately 14 days before the included period ends.
After the included period, the customer may continue managed hosting and technical support for £10 per month, billed monthly in advance.
The recurring hosting service begins only after the customer agrees to continue. T3 Labs will not automatically begin charging merely because the three-month included period has ended.
There is no minimum term after the included period. The customer may cancel before the next monthly billing date, and the website will remain hosted until the end of the paid billing period.
If the customer does not continue hosting, T3 Labs may take the website offline after the included period ends. Once all project invoices have been paid, the customer may request a deployable copy of the completed website. Migration, transfer or setup work for another provider may be quoted separately.
T3 Labs may suspend continued hosting after reasonable notice where an undisputed hosting invoice remains overdue.
Support requests will normally receive an initial response within two working days. A critical fault preventing the website or enquiry form from operating will be prioritised, but T3 Labs does not provide guaranteed 24-hour or emergency support under this package.
11. Forms and enquiries
Before launch, the customer must approve:
- the form fields;
- the recipient email address or system;
- the customer-facing privacy wording;
- any marketing opt-in wording; and
- the spam-prevention method.
T3 Labs does not guarantee that every form submission will be genuine, complete or successfully delivered. The customer must monitor the approved inbox and notify T3 Labs promptly of a suspected fault.
The customer's website privacy notice must explain how the customer uses enquiries. Where T3 Labs processes enquiry data on the customer's behalf, T3 Labs acts as a processor and the customer acts as controller, unless the circumstances require a different legal classification.
12. Foundational SEO
The package includes foundational on-page SEO. This may include:
- page titles and descriptions;
- heading structure;
- service and location wording;
- image alternative text;
- indexing configuration;
- semantic markup; and
- basic structured data where verified facts are available.
T3 Labs does not guarantee indexing, rankings, traffic, enquiries, sales or revenue. Search engines and commercial outcomes depend on factors outside T3 Labs' control.
13. Intellectual property
13.1 Customer material
The customer retains ownership of material it supplies, including its logos, photographs, trademarks, reviews, copy and business information.
The customer grants T3 Labs permission to use that material to create, host and support the website. The customer confirms that it has the necessary rights.
13.2 T3 Labs material
T3 Play Limited retains ownership of its pre-existing:
- website templates;
- reusable components;
- design systems;
- code libraries;
- processes;
- automation;
- tools;
- know-how; and
- development systems.
After full payment, the customer receives a permanent, non-exclusive licence to use those elements as part of its completed website.
13.3 Customer-specific output
After full payment, the customer owns or receives the agreed rights to the final customer-specific copy, content arrangement and design output, subject to T3 Labs' retained material and third-party licences.
No rights transfer while invoices remain unpaid.
13.4 Source files
Source files are not automatically transferred as ownership of T3 Labs' master template.
After full payment, and on written request, T3 Labs will provide a deployable copy of the customer's completed website where reasonably practicable. The copy may exclude:
- T3 Labs' internal automation;
- unrelated reusable project files;
- credentials and secrets;
- services that cannot legally or technically be transferred; and
- third-party material subject to separate licences.
Reasonable migration or preparation work outside the normal handover may be charged separately.
14. Third-party services
Third-party fonts, libraries, hosting, video, scheduling, form, email and other services remain subject to their own terms and licences.
T3 Labs cannot transfer rights it does not own and is not responsible for a third party changing, withdrawing or interrupting its service.
T3 Labs will use reasonable care when selecting and configuring providers but does not guarantee uninterrupted availability.
15. Portfolio use
After the website is publicly launched, T3 Labs may identify the website as work it created and display non-confidential screenshots in its portfolio unless the order summary says otherwise.
T3 Labs will not publicly display the private speculative proposal or unpublished concept without permission.
16. Confidentiality
Each party must keep the other party's confidential information confidential and use it only for the project.
This does not apply to information that:
- is public through no breach of this agreement;
- was already lawfully known;
- is received lawfully from another source; or
- must be disclosed by law.
Publicly available business information does not become confidential merely because it appears in a private proposal.
17. Cancellation and termination
The customer may cancel before client-specific work begins and receive a refund of the initial payment.
After client-specific work begins:
- the initial payment is normally non-refundable;
- the customer may cancel before launch;
- the customer must pay for work completed beyond amounts already paid;
- the website will not be launched; and
- rights do not transfer until all amounts due are paid.
T3 Labs may suspend or end the project if the customer:
- does not pay;
- does not provide required content, approval or access;
- requests unlawful or infringing work;
- behaves abusively; or
- materially breaches the agreement.
Where a breach can be remedied, T3 Labs will normally give reasonable notice and an opportunity to remedy it.
Any refund for a service failure will be limited to the affected service and assessed reasonably. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.
18. Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation.
Subject to that:
- T3 Labs is not liable for indirect or consequential loss;
- T3 Labs is not liable for lost profit, revenue, business opportunities or anticipated savings;
- T3 Labs is not liable for inaccurate, unlawful or infringing customer material;
- T3 Labs is not liable for third-party outages or changes outside its reasonable control;
- T3 Labs is not liable for domain expiry caused by the customer's failure to renew;
- T3 Labs is not liable for loss caused by delayed content, access or approval; and
- T3 Labs does not guarantee commercial performance.
T3 Play Limited's total aggregate liability arising from an order is limited to the total fees paid or payable under that order during the 12 months before the event giving rise to the claim.
This limitation is intended for a business-to-business contract and should be professionally reviewed before first production use.
19. Privacy and data protection
Each party must comply with applicable privacy and data-protection law.
T3 Play Limited is responsible for personal information it collects for proposals, sales, accounts, support and operation of T3 Labs.
For enquiries submitted through the customer's live website, the customer normally acts as controller and T3 Labs acts as processor to the extent it hosts, transmits or supports the enquiry system.
T3 Labs will:
- process enquiry data only for the agreed service;
- use reasonable security;
- limit access to authorised people and providers;
- notify the customer without undue delay after becoming aware of a material personal-data breach affecting the service;
- assist reasonably with access, correction and deletion requests; and
- delete or return customer enquiry data when the service ends, subject to backups and legal requirements.

20. Business-purpose acknowledgement
The customer confirms that it is acquiring the services in trade and for business purposes.
To the extent permitted by New Zealand law, and only where it is fair and reasonable for both parties to do so, the parties agree that consumer guarantees that may lawfully be contracted out of do not apply.
This clause must not be used to remove rights that cannot lawfully be excluded.
21. Events outside reasonable control
Neither party is responsible for delay or failure caused by events outside its reasonable control, including major infrastructure failures, natural disasters, government action, widespread cyber incidents or critical third-party outages.
The affected party must take reasonable steps to reduce the impact.
22. Changes to these Terms
The version accepted with an order applies to that order.
T3 Labs may update these Terms for future orders. A later version does not automatically alter an existing order.
23. Governing law and disputes
These Terms and each order are governed by New Zealand law.
The parties will first try in good faith to resolve a dispute through direct discussion.
If a dispute cannot be resolved, the courts of New Zealand have non-exclusive jurisdiction, unless the order summary expressly agrees another forum.
